Terms of Use
Introduction
This Terms of Use Agreement (these “Terms” or in the alternative “Agreement”) creates a binding contract between you and Myaza, a brand operated by Flitstack Limited, a private limited company in Nigeria (RC - 1981610) with its registered address at Plot C75, Dawaki Layout, Dawaki, Federal Capital Territory, Nigeria (“Myaza”, “we”, “us”, or “our” as applicable). Herein are the terms and conditions governing your use and access to our website www.myaza.co and all affiliated websites owned and operated by us (collectively referred to as, the “Website” and our products, services, and applications (collectively referred together with the Website as, the “Services”).
By using our Services, you affirm that you are at least eighteen (18) years old and legally eligible to enter into this Agreement. You acknowledge and accept all the Terms and Conditions outlined in this Agreement, including our Privacy Policy without any restrictions or qualifications. If you have any objections to any of these terms, you must refrain from using any of the Services.
It is of utmost importance that you carefully read and comprehend all the provisions of our policies, as well as any other applicable agreements that pertain to you. Some of our Services may have additional terms and conditions, which we will communicate to you through the Service or other means, and these supplementary terms and conditions shall be considered an integral part of this Agreement.
Definitions
“Account” means any account opened for you with us enabling you to access the App, including a payment account, electronic money account, or any other applicable definition of an account record;
"Application" or "app" means the technology made available by Myaza to you on your mobile phone or other electronic device that facilitates access to any of the services that Myaza provides;
“Payment Method” means a payment by Card, bank transfer, Mobile Money Account, or any other payment method that is accepted by Myaza in exchange for issuing money to your Wallet;
“Applicable Law” means any and all applicable laws, legislation, bye-laws, decisions, notices, statutes, orders, rules (including any rules or decisions of court), regulations, directives, edicts, schemes, warrants, local government rules, statutory instruments or other delegated or subordinate legislation and any directions, codes of practice issued pursuant to any legislation, voluntary codes, other instruments made or to be made under any statute and codes of conduct and mandatory guidelines (including in all cases those that relate to audit, accounting or financial reporting) and which have legal effect, whether local, national, international or otherwise existing from time to time, together with any similar instrument having legal effect in the relevant circumstances;
“Authentication” means the performance of operations that enable us to verify your identity;
“Authentication Instrument” means an item, feature, information, or other instruments that enable you to Authenticate yourself to us, and/or to Authorise certain operations for us (for example personalized security details for the App, a password, a one-time authentication code, a PIN, a mobile phone, a mobile phone number, a fingerprint or personalized security questions);
“Authorise / Authorisation” means the performance of operations by which you give us a confirmation of your consent to performing certain operations, for example, to make a payment;
“Authorised Merchant” means a merchant expressly authorized by Myaza to receive payments in relation to its merchant activities via the App;
“Authorised Merchant Payment” means a Payment Transaction between you and an Authorised Merchant made via the App;
"Myaza Wallet" means a non-interest-bearing account maintained by Myaza for you from which you perform your transactions on our application.
“Business Days” means a day other than a Saturday, Sunday, or public holiday in our various jurisdictions.
“Card” means a bank, payment, or credit card which is denominated in a fiat currency and is not linked to any cryptocurrency;
“Covered Third Parties” means any or all third-party operating system providers such as Apple Inc. (“Apple”), Google LLC, and Microsoft Corporation, (and each of their respective related entities), your mobile phone or other mobile device manufacturer, your wireless carrier or other network provider such as Airtel, MTN, and Glo, and any other product or service provider related to your mobile device service.
“Money” or “Electronic Money” means monetary value, which is stored electronically for you, and which represents a claim by Myaza. E-Money is issued by Myaza through third-party Partners, on receipt of cleared funds in a corresponding amount for the purposes of making Payment Transactions via the App;
“Wallet(s)” means a non-interest-bearing electronic account maintained for the sole purpose of enabling you to make and receive transfers of Electronic Money issued by us and denominated in US Dollar and Naira or any other support currencies;
“Fee Schedule” means the document comprising all the fees payable by a user for the use and management of a Wallet which is available on the App;
“Fees” means the fees payable by you to us for using our Services as set out on our Fee Schedule;
“Individual” means a natural person;
“Legal Entity” means any entity with a legal personality that is not an Individual;
“Mobile Money Account” means an account used to store and transfer funds held with a mobile network operator;
"Payment Account" means any source of funds that you may from time to time use for the funding of your Myaza Wallet, including a bank account or debit or prepaid card account. The Payment Account must be issued or held in your name at a depository institution in your country.
“Payment Order” means any instruction by you to us requesting the execution of a Payment Transaction;
“Payment Transaction” means an act initiated by the payer or payee of placing, transferring or withdrawing funds, irrespective of any underlying obligations between the payer and the payee;
"Recipient" means the person to whom you send money using the technology made available by Myaza.
"Remittance" means the transfer of funds that you request and authorize Myaza to process through the Application for payment to your Recipient.
"Service" means the transfer of funds from you to your Recipient through the Application and activities related to that transfer.
"We," "us," and "our" mean Myaza Incorporated and its successors, affiliates, and assignees.
“Website” means https://myaza.co as updated from time to time;
"You" and "your" mean the person who uses or accesses the Services.
Purpose And Scope Of Agreement
This Terms of Service is an Agreement between you and Myaza. It sets forth the terms and conditions that shall govern the use of the Platform and the services. It details Myaza's obligations to you. It also highlights certain risks of using the services, and you must consider such risks carefully as the provision of this Agreement will bind you through your use of this website or any of our services.
Our Services
At Myaza, we offer a range of services that empower you to transfer funds in various supported currencies, conduct money transfers to and from your Myaza Balance, hold funds in your Myaza Balance, convert balances from one supported currency to another, withdraw funds from your Myaza Balance, and send money to recipients. Please note that we retain the sole discretion to decline any user or execute any transaction related to the transmission, receipt, sending withdrawal, or currency conversion of funds held in your Myaza Account at any given time.
Acceptance Of Terms
By creating a Myaza Account, accessing our Services, or otherwise interacting with us, you agree to be bound by this Agreement and agree to receive communication relating to the Services or your Myaza Account in electronic format. Additionally, you affirm that you are at least eighteen (18) years old and legally allowed to enter into this Agreement. You expressly accept all Terms and Conditions contained herein in full and without limitation or qualification, including our Privacy Policy and Acceptable Use Policy. You must not use any of the Services if you have any objection to any of these terms.
Onboarding
During the onboarding process, Myaza will request specific information and documents from you to open an account or complete a payment ("KYC"). This information includes:
Your full name, gender, country of residence, full address, date of birth, and nationality.
Your email address.
Your mobile phone number.
Additionally, you will need to provide copies of documents to verify your identity and address, such as:
A valid passport or national identity card for identity verification.
A self-portrait, valid driving license, recent bank statement (not older than 90 days), government-issued tax statement, council tax bill, or utility bill for address verification.
You understand that the information and documents requested during onboarding are necessary due diligence measures to prevent money laundering, terrorist financing, and illicit financing, as required by Applicable Law. Myaza is obligated to verify all information provided and monitor transactions for any suspicious activity.
During the onboarding process, we may request further information or documents, seek clearer copies of already submitted documents, or ask for security question answers for authorization purposes. While we verify your data through third parties, access to your account and funds may be limited until the process is complete.
To ensure accuracy and compliance, Myaza may contact third parties to collect and verify your information. It is crucial that all information you provide is true, accurate, and up to date. If any information changes or is found to be false, inaccurate, or incorrect, you must promptly update us through support@myaza.co and confirm the accuracy of the information.
Failure to provide required information or updates, or the falsification of any data, may result in a ban or permanent limitation on your account.
For payments to your E-wallet in local currency, Myaza will request a bank account in your name, either in Nigeria or a third-party country with equivalent anti-money laundering and terrorist financing laws. You can request a change of Account by providing your new account details on the app or emailing support@myaza.co.
Full access to all Myaza services, including fund deposit and withdrawal, is subject to successful verification and providing a valid, approved bank account.
Accounts that have not completed the entire KYC process will have certain limits:
Accounts with basic information can receive up to $1,000 but cannot make transfers.
Accounts with identification and self-portrait can receive and transfer up to $2,500 but cannot create an additional E-wallet.
Accounts with verifiable proof of income will have no transaction limits and based on the justification requirements.
Account Safety
You are solely responsible for maintaining adequate security and control of any email IDs, passwords, or other details you use to access your Myaza Account and Services. You agree not to allow anyone else to have or use your password details and comply with all reasonable instructions regarding account access and security. In the event you share your password details, Myaza will not be liable to you for losses or damages. You will also take all reasonable steps to protect the security of the personal electronic device through which you access your Myaza Account and Services (including, without limitation, using pin and/or biometric access controls to access your Myaza Account). You agree to take particular steps to log out of your Myaza Account at the end of each session. It is important to ensure that the email address you provide to us is updated and that there are no technical or system errors affecting your email receipt, access, or retrieval of communications sent to that address. You also understand and agree that electronic communications may be accessed by unauthorized parties when communicated between you and Myaza, regardless of the security measures in place. Myaza is not responsible for any data breach or unauthorized access to your email address or your Myaza Account.
Transactions, Services, And Payments
You have the flexibility to deposit money into your Myaza Account using various methods, including bank transfers (ACH, wire or swift, FPS, or Chaps, SEPA transfers, etc.), credit cards, or debit cards. The availability of deposit methods may vary depending on certain factors, and we may, when necessary, restrict or discontinue a particular deposit method without prior notice to you.
Upon receiving your deposit, we will promptly credit your Myaza Account. It's important to note that we are responsible for the funds deposited only after they have been received by us. In some instances, regulatory requirements may necessitate you to provide evidence of the source of funds. Should such a situation arise, you agree to promptly furnish the required evidence. You further represent and warrant that the evidence provided is current, complete, and accurate.
While Myaza facilitates banking services, we are not a bank ourselves, and such services are offered by our third-party partner banks. The bank account details we provide to you for receiving funds from third parties pertaining to accounts held by Myaza. Funds held with Myaza are not covered by the Federal Deposit Insurance Corporation (FDIC) or any other deposit protection scheme. However, rest assured that all customer funds are safeguarded. Myaza does not utilize customer balances for operating expenses or other corporate purposes, and in the event of bankruptcy, these funds are not made available to our creditors.
Accuracy of the information provided during money transfers and withdrawals is crucial. Once a transaction is processed, it generally cannot be reversed (unless mandated by applicable law). Except as expressly stated in this Agreement, we shall not be liable for any losses incurred as a result of transactions carried out in accordance with your instructions (or those of a third party acting on your behalf).
Charges And Fees
As a user of Myaza's services, you agree to pay for the services provided. Our fees will be calculated based on the information displayed on the Pricing page of our website. Pursuant to the terms of this Agreement, Myaza will transfer to your designated bank or card settlement account ("Bank Account") all settled amounts due to you from your transactions, after deducting our stated fees, any Reversals, Invalidated Payments, Chargebacks, Refunds, or other amounts owed to Myaza under this Agreement ("Payout").
In the event of a good faith dispute regarding any amount listed on an invoice submitted by either Party in connection with this Agreement ("Affected Invoice"), the disputing Party must promptly notify the other Party in writing within Forty-Eight (48) hours of receiving the Affected Invoice. The notification must specify the Affected Invoice, the disputed amount, and the reasons or grounds for the dispute. Failure to provide such notification will be deemed an acknowledgment that the invoice is accurate and correct.
Please note that Myaza reserves the right to revise its fees. In the event of fee revisions, we will notify you within twenty-four (24) hours of the change.
Accidental Payment
In the event that Myaza has reason to believe that money was mistakenly paid into your E-wallet, we will promptly contact you to notify you of the accidental payment. As the situation arises, we may take the following actions as we deem appropriate:
Share your personal information with the paying bank to facilitate direct contact with you.
Share your personal information with law enforcement agencies if required by applicable law.
Temporarily freeze the amount of money, up to the sum received by you, in any of your E-wallets.
Deduct the appropriate amount of money from any of your E-wallets, in cases where the money has been converted, and remit such sum to the payment service provided by the payer.
Suspend withdrawals from your account until a resolution regarding any accidental payment has been reached.
As a user, it is your responsibility to promptly notify Myaza if you believe that a payment made to your wallet was not a mistake. You must provide details about the purpose of such payment, your relationship with the payer, and any other relevant information to help us resolve the dispute efficiently. We encourage open communication to address accidental payments effectively.
Reversals And Chargebacks
In the event that you receive a payment that is later refunded or invalidated for any reason, you shall be held responsible for the full amount of the payment sent to you, along with any applicable fees (including any chargeback fee as described below). When a transaction is reversed, Myaza will refund or reverse the transaction from your Myaza Account in the same currency as the original transaction. Should your Myaza Account balance for a specific currency be insufficient to cover the refund or reversal amount, Myaza will perform a currency conversion based on the exchange rate offered by Myaza at that time, in order to process the refund or reversal.
If you receive a debit or credit card-funded payment through your Myaza Account, and you or a third party initiate a chargeback for the transaction with the card issuer, Myaza may impose a chargeback fee to facilitate the chargeback process. The charged-back funds will be removed from your Myaza account accordingly.
Payments credited to your account may be invalidated and reversed by Myaza under the following circumstances:
Our investigation reveals that a bank reversal was due to fraudulent activity.
Myaza mistakenly sent the payment to you.
The payment was unauthorized.
You received the payment for activities that violated this Agreement, the Acceptable Use Policy, or any other agreement between you and Myaza.
Upon receiving a payment, you assume the responsibility to Myaza for the entire payment amount sent to you, including any fees, if the payment is later invalidated for any reason.
If your Myaza Account balance becomes negative, including due to a chargeback, transaction reversal, deduction of fees, or any other action carried out by you or a third party, the negative amount represents an outstanding debt owed to Myaza. You hereby commit to promptly repay the negative amount without the need for further notice from us. We may send reminders or take reasonable measures to recover the negative amount from you, which may include employing debt collection services or initiating legal actions. You may also be charged for any costs incurred by Myaza as a result of these collection efforts.
Payment Limits
At Myaza, we may impose payment limits on the value of Payment Transactions that you can carry out. These limits may apply to:
A single Payment Transaction.
Cumulative Payment Transactions over a specified period.
You can find the applicable payment limits on our website. We reserve the right to adjust these limits at our discretion and will inform you in advance of any changes.
If you wish to increase or decrease your payment limit, please contact us at support@myaza.co. We will consider such requests on a case-by-case basis and may require additional information and documents to support the need for a limit adjustment.
Disclaimers
Myaza will try to ensure that the Website is available at all times and bug-free. However, it is used at your own risk. Our Website and Services are provided “as is” without any express, implied, and/or statutory warranties (including, but not limited to, any implied or statutory warranties of merchantability, fitness for a particular use or purpose, title, and non-infringement of intellectual property rights). Without limiting the generality of the foregoing, Myaza makes no warranty that our Website and Services will meet your requirements or that our Website will be uninterrupted, timely, secure, or error-free. No advice or information, whether oral or written, obtained by you through our Website or from Myaza, its parents, subsidiaries, or other affiliated companies, or its or their suppliers (or the respective officers, directors, employees, or agents of any such entities) (collectively, "Myaza Parties") shall create any warranty.
We have the right to suspend, withdraw, discontinue, or change all or any part of our Service without notice. We will not be liable to you if for any reason our Services are unavailable (in whole or in part) at any time or for any period. You are responsible for making all arrangements necessary for you to have access to the Services.
Limitation Of Liability
Your use of Myaza’s Site and Services is at your own risk. You agree to the limitation liability clause to the maximum extent permitted by applicable law: Myaza will in no way be liable for any direct, indirect, incidental punitive, consequential, special, or exemplary damages or any damages including damages resulting from revenue loss, profit loss, use, data, goodwill, business interruption, or any other intangible losses (whether Myaza has been advised of the possibility of such damages or not) arising out of Myaza’s website or services (including, without limitation, inability to use or arising from the result of the use of Myaza’s website or services) whether such damages are based on warranty, tort, contract, statute, or any other legal theory.
Intellectual Property
Unless explicitly stated otherwise, Myaza and/or its licensors retain ownership of the intellectual property rights and materials on the website, subject to the license provided below. All content on the Myaza website, including but not limited to text, graphics, animation, tools, commercials, music, videos, articles, sounds, trade names, logos, and other materials and information (collectively referred to as the "Content") are protected by the intellectual property rights of Myaza, its affiliates, and their licensors and licensees.
We do not grant you any right, license, title, or interest in any of our intellectual property rights, whether or not you have access to them. You are strictly prohibited from copying, reverse-engineering, decompiling, disassembling, modifying, or reposting the Content to other websites. The trademarks displayed on the Myaza website are also protected, and no license or right to use any trademark is granted by implication or otherwise, without the written permission of Myaza or the third party that owns the trademark.
You agree to take any necessary actions, including the execution of legal or official documents, to further affirm and protect our intellectual property rights. Any unauthorized use or infringement of our intellectual property rights may result in legal action being taken against you.
Warranties And Representations
By using Myaza's services, you represent and warrant the following to Myaza:
You have full power and authority: You affirm that you have the full power, authority, regulatory approval, and corporate authorization necessary to enter into, execute, deliver, and perform this Agreement on behalf of your organization.
Duly organized and authorized: You further confirm that your organization is duly organized, authorized, and in good standing under the laws of the state, region, or country where it is registered. Additionally, you assert that your organization is duly authorized to conduct business in all other states, regions, or countries in which it operates.
Age Restriction
We have an age restriction policy in place for our website and services. Our platform is intended for individuals who are 18 years of age and above. You must be 18 or older to use our Services. We do not knowingly engage with individuals below the age of 18.
Indemnification
You hereby indemnify Myaza and undertake to keep Myaza, its staff, and affiliates indemnified against any losses, damages, costs, liabilities, and expenses (including without limitation reasonable legal fees and expenses) arising out of any breach by you of any provision of these Terms or arising out of any claim that you have breached any provision of these Terms or arising from a suspension or other action taken with respect to your Myaza Account or arising from your need to modify your practices, content, or behavior, or your loss of or inability to do business, as a result of changes to this Agreement or any other Myaza policy. You will indemnify and hold Myaza harmless from and against any claim, suit, or proceeding brought against Myaza arising from or in connection with violations of intellectual property or other rights of third parties in relation to your use of the Services. If you have a dispute with any other Myaza Account holder or a third party that you send money to or receive money from using the Services, you release Myaza from any and all claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
Termination
You may terminate this Agreement by closing your Myaza Account. We may, in our sole discretion, suspend, or close your Myaza Account and your access to Myaza’s services and any funds or terminate this Agreement if:
You do not comply with or breach any of the provisions of this Agreement.
We are required to do so by law, government authority or agency, or law enforcement agency.
We are directed by a Card Network or issuing financial institution.
Where a suspicious or fraudulent transaction occurs.
We have reason to believe you are involved in any fraudulent activity, money laundering, terrorism financing, or other criminal or illegal activity.
Myaza may take further actions it deems appropriate to deal with the breach, which may include suspending your access to the website, prohibiting you from accessing the website and Services, blocking computers using your IP address from accessing the website and Services, contacting your internet service provider to request that they block your access to the website and Services, and/or bringing court proceedings against you. We may also suspend your Myaza Account if it has been compromised or for other security reasons or has been used or is being used without your authorization or fraudulently.
If we close your Myaza Account or terminate your use of the Services for any reason, we’ll provide you with notice of our actions and make any unrestricted prepaid money held in your Myaza Account available for withdrawal. You are responsible for all reversals, chargebacks, fees, fines, penalties, and other liability incurred by Myaza, any other Myaza customer, or a third party, caused by or arising out of your breach of this Agreement, and/or your use or the use of your authorized third parties of the Services. You agree to reimburse Myaza, any Myaza customer, or a third party for any and all such liability. On termination for any reason, all rights granted to you in connection with the App shall cease, and you must immediately delete or remove the App from your devices.
HOW DO I CLOSE MY MYAZA ACCOUNT?
You may close your Myaza account at any time by:
Logging into your account on the mobile app or web app.
Navigating to the Settings section.
Selecting 'Delete your account.'
Agreeing to the terms of service.
Tapping the 'Continue with account deletion' button.
Enter the reason for deleting your account & account password.
Tap the 'Delete account' button.
Pending Payments: If there are any pending transactions relating to your Myaza Account when you initiate account deletion, your Myaza Account will be closed promptly after such transactions are completed.
Remaining Balances: Before closing your account, you should empty your currency balances. Unused balances in your Myaza account may be lost, so ensure to use or remove all the funds in your account. Myaza will not be liable for any losses that may occur due to failure to remove all funds in your account. To empty your balances, you should withdraw all funds from all Myaza wallet accounts.
You must not close your Myaza Account to avoid an investigation. If you attempt to close your Myaza Account during an investigation, we may hold your money until the investigation is fully completed. You agree that you will continue to be responsible for all obligations related to your Myaza Account even after it is closed. As a regulated financial institution, Myaza is obligated to retain some of your data for purposes such as security, fraud, accounting, reconciliation, anti-money laundering, and reporting purposes.
Dispute Resolution
If a dispute of any kind whatsoever arises between the Parties in connection with or arising out of the execution of this Agreement, including but not limited to any dispute as to opinion, instruction, determination, assessment, estimate, valuation, certification, or invoice submitted by a Party, or in connection with this Agreement construction, validity, interpretation, enforceability of this Agreement shall be finally settled pursuant to the dispute resolution process described in this clause.
The Parties shall use their best endeavours to settle any dispute or difference of opinion between them, arising from or in connection with this Agreement amicably through mutual discussion and negotiation pursuant to this clause.
If the Parties are unable to settle the dispute as indicated above within 15 (fifteen) Business Days, the dispute shall be referred to Mediation by the legal representative of either of the Parties. The parties will choose a mutually acceptable mediator.
The findings of the Mediator and subsequent award/Agreement shall be binding on both parties. Each Party shall bear its respective costs in connection with the Mediation.
Errors
With regard to your Myaza Account, the following are considered Errors:
When money is either incorrectly withdrawn from your Myaza Account or incorrectly deposited into your Myaza Account, or when a transaction or Transfer is incorrectly recorded in your Myaza Account.
You send money to a third party or withdraw money, and the incorrect amount is debited from your Myaza Account.
An incorrect amount is credited to your Myaza Account.
A transfer to or from your Myaza Account is missing from or not properly identified in your Myaza Account statement.
We make a computational or mathematical error related to your Myaza Account or the currency you have converted.
You request additional information or clarification concerning a transfer to or from your Myaza Account, including a request initiated by you through your Account settings in the App.
Contact us immediately if you have any questions about a transaction error or if you need information about a transaction listed on the statement. We must hear from you no later than 30 days after the date of the transaction in question. You can contact Myaza's Customer Support team by phone or through the in-app Help Centre. When you contact us, please provide us with all of the following information:
Your name and email address are registered to your Myaza Account.
A description of the transaction in question and an explanation of why you believe it is an error or need more information.
The amount of the transaction in question.
Approximately when the error took place.
If you do not notify us within 30 days after the transaction in question, you agree that you have no claim or controversy with us concerning the transaction and agree to waive any and all rights and claims you may have had against us related to the transaction.
The following instances are not considered Errors:
Giving someone access to your Myaza Account (by sharing your login information) and then they use your Myaza Account without your knowledge or permission. You are responsible for transactions made in this situation.
Invalidation and reversal of a payment or transaction as a result of the actions described under Reversals and Chargebacks.
Routine inquiries about your Myaza Account balance.
Requests for duplicate documentation or other information for record-keeping purposes.
An inquiry about the status of a currency conversion order (except where the funds from the order were not made available to the recipient by the disclosed date of availability).
A change requested by the recipient of funds sent from you.
A change in the amount or type of currency received by a designated recipient from the amount or type of currency stated in the disclosure provided to you, if we relied on information provided by you in making the disclosure.
Delays that result from Myaza applying holds or limitations. Our decision about holds or limitations may be based on confidential risk management procedures and the protection of Myaza, our customers, and/or service providers. Additionally, we may be restricted by regulations or a governmental authority from disclosing certain information to you about such decisions. We have no obligation to disclose the details of our risk management or security procedures to you.
Delays are based on a review of a potentially high-risk transaction.
Your errors in making a transaction (for example, mistyping the amount of money that you are sending or choosing an incorrect destination Currency).
Delays due to the actions of third parties (e.g., your or a recipient's bank).
Data Protection
Myaza places a high priority on data protection and is committed to ensuring that all Personal Information associated with Myaza and this website complies with all relevant Data Protection Laws in the territory, including but not limited to the General Data Protection Regulation (GDPR) and other applicable data protection regulations. To provide you with transparency about the collection and use of your Personal Information, Myaza maintains a comprehensive Privacy Policy outlining the types of Personal Information we collect from you or that you provide to us. Entire Agreement
This Agreement, including any documents referenced herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior or contemporaneous understandings, representations, agreements, or other communications between the parties, whether written or oral. All covenants and agreements in this Agreement shall survive termination of this Agreement.
